Welcome to the Luminous Consulting ALR Webinar (the “Webinar”) hosted via luminousconsultings.com (the “Website”, “we”, “us”, or “our”). By registering for or attending the Webinar, you (“you”, “attendee”, “participant”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not register or participate in the Webinar.

   1. Definitions

  • Webinar: The online event, training, presentation, or masterclass offered by us at or via the Website.
  • Participant / Attendee: Anyone who registers for, attends, or views the Webinar.
  • Registration: The act of signing up for the Webinar via the form on our Website.
  • Fee: Any cost payable by you to register for the Webinar (if applicable).
  • Content: All webinar materials including but not limited to video, audio, slides, handouts, recordings, transcripts, and any intellectual property shared during or after the Webinar.
  • Replay: A recorded version of the Webinar, if made available.
  • Host: Luminous Consulting or any of its representatives, speakers, or instructors.
  • Force Majeure Event: Any event beyond our reasonable control (e.g. technical failure, internet outage, natural disasters).

   2. Acceptance of Terms

  • By registering for or participating in the Webinar, you confirm that you have read, understood, and agree to these Terms.
  • These Terms apply in addition to any privacy policy, cookie policy, or other policy on the Website.

   3. Registration and Payment

  • Registration Information: You must provide accurate and complete information during registration (name, email, etc.).
  • Confirmation: Once you register, we will send a confirmation (e.g., via email) with details on how to join the Webinar (link, time, access instructions).
  • Payment:
    • If the Webinar is paid, payment must be completed before your registration is confirmed.
    • Payment methods, currency, and payment terms will be as stated on the registration page.
    • If you pay via a third-party payment processor (e.g. Stripe, PayPal), additional terms of that processor may apply.
  • Capacity: We may limit the number of participants. Registration is subject to availability.
  • Refund / Cancellation by Participant:
    • If you wish to cancel your registration, you must inform us by [method: email/link] by [deadline].
    • Refund eligibility (if any) will depend on our refund policy as stated at registration.
  • Cancellation by Host:
    • We reserve the right to cancel or reschedule the Webinar.
    • If we cancel, we’ll use reasonable efforts to notify you, and if applicable, issue refunds for paid registrations.
  1. Access & Use of Webinar
  • Access: After successful registration, you will get access details (e.g., a link) to join the Webinar.
  • Link Sharing: The access link is for your use only. Sharing it with others not registered is prohibited.
  • Behavior and Conduct:
    • You agree to behave respectfully, not disrupt the Webinar, harass other participants, or engage in any behavior that interferes with the event.
    • We reserve the right to remove or block participants who violate this.
  • Recording & Distribution:
    • You may not record, reproduce, distribute, or share the Webinar content unless explicitly permitted.
    • All intellectual property rights in the Webinar Content remain with us (or third-party owners as indicated).
  • Replay Policy:
    • If we provide access to a replay, replay access terms (duration, availability, restrictions) will be communicated at or after registration.
  1. Intellectual Property
  • Ownership: All materials, content, and resources provided in the Webinar are our intellectual property (or licensed to us).
  • License to Participants: We grant you a limited, non-transferable, non-sublicensable license to use the Content for your personal, non-commercial purposes (unless otherwise agreed).
  • Restrictions:
    • You may not copy, distribute, share, publicly display or create derivative works from the Content without our written permission.
    • You may not resell or redistribute the Webinar access or materials.
  1. Technical Requirements & Disclaimer
  • Technology: You are responsible for having compatible hardware, software, and internet connectivity to access and participate in the Webinar.
  • No Guarantee of Perfection: While we strive to provide a high-quality experience, we cannot guarantee uninterrupted access or error-free performance (e.g. video lag, disconnections).
  • Limitation of Liability:
    • We are not liable for technical issues on your device or network.
    • To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, consequential, or punitive damages arising out of your access to or use of the Webinar.
  1. Cancellation, Postponement & Changes
  • By Us:
    • We may cancel, postpone, or modify the Webinar (including date, time, speakers) for any reason, such as low registration or technical issues.
    • If we cancel, registered participants will be notified and, if applicable, refunded.
  • By You: See Section 3 above on cancellation and refunds.
  • Force Majeure: Neither party is liable for failure to perform obligations due to a Force Majeure Event.
  1. Privacy & Data Protection
  • Personal Data: By registering, you agree that we can collect, store, and process your personal data (name, email, etc.) for the purpose of administering the Webinar.
  • Use of Data:
    • We may send you emails related to the Webinar (reminders, access info, follow-up).
    • We may also use your data for marketing (if you consent), unless stated otherwise.
  • Third-Party Services: We may use third-party platforms (e.g., Zoom, Webinar tools) to host the Webinar, and such platforms may collect data. Your use of those platforms is subject to their terms.
  • Data Security: We take reasonable technical and organizational measures to protect your data.
  • Privacy Policy: Your data is handled in accordance with our Privacy Policy [link to privacy policy].
  1. Intellectual Property Indemnification

You agree to indemnify and hold harmless Luminous Consulting, its officers, employees, agents, and affiliates, from any claim, liability, damage, loss, or expense (including legal fees) arising out of your breach of these Terms, or your unauthorized use of the Webinar Content.

  1. Disclaimers & Limitation of Liability
  • No Professional Advice: Any information given in the Webinar is for general educational purposes only and does not constitute legal, financial, or other professional advice.
  • No Guarantees: We make no guarantees about the outcomes participants may achieve from applying concepts taught in the Webinar.
  • Liability Cap: To the fullest extent permitted by applicable law, our total liability to you (for any claims arising out of or in connection with the Webinar) is limited to the amount you paid (if any) to attend.
  • Exclusions: We are not liable for losses that are not reasonably foreseeable (e.g., lost profits, loss of data) unless required by law.
  1. Governing Law & Dispute Resolution
  • Governing Law: These Terms are governed by and construed in accordance with the laws of Calgary, Canada.
  • Dispute Resolution:
    • Any dispute arising out of or relating to these Terms or Webinar shall first be attempted to be resolved by negotiation between both parties.
    • If unresolved, the dispute may be submitted to mediation, arbitration, or litigation (choose what’s appropriate), depending on legal context.
  • Jurisdiction: You agree that courts in Calgary, Canada will have exclusive jurisdiction to resolve any disputes (or specify otherwise).
  1. Modification of Terms
  • We reserve the right to modify or update these Terms at any time.
  • When we make changes, we will update the “Last Updated” date, and, if material, notify registered participants via email or on the Website.
  • Your continued participation after changes constitutes your acceptance of the revised Terms.
  1. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be struck out or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

  1. Entire Agreement

These Terms, together with any policies referenced (e.g., Privacy Policy), constitute the entire agreement between you and us regarding the Webinar, and supersede all prior or contemporaneous communications or agreements (oral or written) about the Webinar.
